On one hand, Neurobyte Labs, S.L. (hereinafter, webifayAI), with Spanish tax ID (CIF) B27598747, as the service provider. On the other hand, the client who engages services through this website or through direct communication with webifayAI.
These terms and conditions govern the relationship between webifayAI and its clients in the provision of web design and development, SEO, digital marketing, social media management, digital advertising and AI virtual assistant development services.
The engagement begins with a client enquiry through the contact form, email or telephone. webifayAI prepares a detailed proposal outlining the scope, timelines and budget for the project. Acceptance of the proposal by the client formalises the agreement. Any changes to the project scope must be agreed in writing by both parties and may entail a revision of the budget and timelines.
Service prices will be those indicated in the proposal accepted by the client. Unless otherwise agreed, payment terms are: 50% at project start and 50% upon final delivery. Prices do not include VAT unless expressly stated. Non-payment of any invoice shall entitle webifayAI to suspend service delivery until the situation is resolved.
Delivery timelines will be as agreed in the proposal. webifayAI commits to meeting the established deadlines, except in cases of force majeure or delays attributable to the client (lack of content, delayed feedback, scope changes). Delays caused by the client shall not be the responsibility of webifayAI and may result in a revised schedule.
Upon full payment for the project, the client acquires ownership of the final design and content created specifically for their project. webifayAI reserves the right to use the work produced as a portfolio reference, unless expressly agreed otherwise. Generic tools, libraries, frameworks and base code used by webifayAI in development retain their original ownership.
webifayAI guarantees the correct functioning of the delivered project for a period of 30 days from final delivery. During this period, technical errors attributable to webifayAI will be corrected at no additional cost. This warranty does not cover errors resulting from modifications made by the client or third parties, nor failures caused by third-party services (hosting, external APIs, etc.). Subsequent maintenance may be contracted separately.
The client agrees to: provide the content, materials and information necessary for the project within agreed timelines; give timely feedback when requested; guarantee that materials provided do not infringe third-party intellectual property rights; and comply with payments within agreed terms.
webifayAI shall not be held responsible for: commercial results derived from the use of the contracted services (sales, leads, rankings); data loss caused by third-party service failures; service interruptions due to causes beyond webifayAI's control; nor for the use the client makes of the deliverables once the project is completed.
Either party may terminate the contract by giving 15 days' written notice. In the event of early termination by the client, the client shall pay for all work effectively carried out to date. In the event of termination due to non-payment, webifayAI may retain deliverables until payment is settled.
Both parties agree to maintain the confidentiality of information exchanged during the business relationship. This obligation shall remain in force for the duration of the project and for a period of 2 years after its completion.
These terms and conditions are governed by Spanish law. For the resolution of any dispute, the parties submit to the courts and tribunals of the registered address of Neurobyte Labs, S.L., unless applicable law provides otherwise.
